Terms of Service

1. Parties

These Terms govern web development services provided by Norex IT Systems SIA (reg. 40203743960, Latgales iela 81 - 1, Ludza, LV-5701) — the "Provider" — to the client identified in the project invoice — the "Client".

2. Services and scope

The Provider offers three productized packages:

• Promo Website — €450 · single-page site, up to 5 sections, delivered in 4–6 business days.
• Business Website — €1,100 · multi-page site up to 10 pages with CMS, news module and SEO, delivered in 12–16 business days.
• Online Store — €2,200 · e-commerce platform with catalogue, cart, payment integration, customer accounts and admin panel, delivered in 18–24 business days, with 30 days of post-launch support.

The exact scope of work for each project is fixed at the time of invoice issuance. Additional features outside the package scope are agreed separately in writing as add-ons with a fixed price.

3. Payment

• All projects are billed in EUR.
• Payment is 100% in advance by SEPA bank transfer before work begins.
• The delivery window starts on the business day following receipt of cleared funds and complete project brief.
• Invoices are issued electronically and comply with Latvian invoicing requirements.

4. Client responsibilities

Timely delivery depends on the Client providing:

• Project brief, brand assets, copy and imagery within 3 business days of payment.
• Feedback on design and review milestones within 3 business days of delivery.
• Hosting access, domain registrar credentials and any third-party API keys required.

Delays caused by missing inputs extend the delivery window by an equivalent number of business days.

5. Revisions

• Promo — 2 revision rounds at the design stage, plus minor copy adjustments before launch.
• Business — 3 revision rounds at the design stage, plus minor adjustments throughout.
• Online Store — unlimited revision rounds during the 30-day post-launch support window.

Revisions beyond the included rounds are billed at €40 / hour, agreed in writing before work begins.

6. Intellectual property & ownership

• Upon full payment, the Client receives full ownership of the final source code, design files and content of the delivered website.
• Third-party assets (stock images, plugins, fonts) remain subject to their original licenses, which are passed through to the Client where required.
• The Provider retains the right to display the delivered work in its portfolio and case studies unless the Client opts out in writing before launch.

7. Delivery and acceptance

The Provider delivers the project to the staging or production environment agreed in the brief. The Client has 7 business days to review and submit acceptance feedback. Absent feedback within that window, the project is deemed accepted.

8. Warranties and limitations

The Provider warrants that delivered work meets the agreed specification on the date of delivery and will be free of material defects for 14 days after delivery (Promo, Business) or 30 days after delivery (Online Store).

The Provider is not liable for:

• Outages or issues caused by the Client's hosting, domain registrar, or third-party services.
• Content provided by the Client that infringes third-party rights.
• Changes the Client makes to the source code after handover.
• Indirect, incidental or consequential damages (lost profits, lost data, lost business).

The Provider's aggregate liability is capped at the total amount paid for the project.

9. Cancellation

The Client may cancel the project before work begins for a full refund. After work has commenced, refunds are calculated pro-rata based on completed work, with a minimum non-refundable amount of 30% of the project fee to cover scoping and design preparation.

10. Confidentiality

Each party agrees to treat the other's non-public business information as confidential and to use it only for the purpose of delivering the project. Confidentiality obligations survive completion of the project.

11. Data protection

Personal data is processed in accordance with our Privacy Policy and the EU General Data Protection Regulation (GDPR).

12. Applicable law & jurisdiction

These Terms are governed by the laws of the Republic of Latvia. Any dispute arising out of or in connection with these Terms shall be resolved by the competent courts of Latvia, unless the parties agree to arbitration in writing.
